This agreement is between Good Buy Mate, LLC company, and Good Buy Mate, LLC Registered Members (aka Member):

1 – Good Buy Mate, LLC’s services consist of purchasing and receiving the member’s merchandise, packing it, and shipping it to the member’s specified address using the service chosen by the member.

2 – Orders will be shipped to the address provided by the Good Buy Mate, LLC member. Good Buy Mate, LLC is not responsible for any errors in the shipping address as provided by the Good Buy Mate, LLC member. The Good Buy Mate, LLC member is liable for any and all additional costs and fees incurred as a result of an incorrect address.

3 – Good Buy Mate, LLC’s same-day service is based upon local availability and begins at $20 per shop for locales within 15 minutes of Good Buy Mate, LLC’s office as determined by a reputable mapping service.  There is an additional $10 for each additional 10 minutes; pickups greater than an hour distance incur a $100 fee plus applicable travel charges.

4 – Good Buy Mate, LLC’s service fee is refundable, minus a $2.50 processing fee. This fee is waived if the Good Buy Mate, LLC member places another order with Good Buy Mate, LLC within two weeks of the original order.  If an order is canceled at the member’s request the member is responsible for any costs associated with returning the order to the vendor.
5- All order quotes provided by Good Buy Mate, LLC are valid for 48 hours from the time they are sent to the member. Payment must be completed by the member for the order within 48 hours of being invoiced for the order quote to be valid. Failure to confirm the order or pay for the order within the specified timeframe will result in the order being voided. If a coupon, sale, or other promotional discount is applicable, the order must be confirmed and paid for before the discount period ends, if the discount period is less than the timeframe provided by Good Buy Mate, LLC. Orders outside this timeframe can still be processed, but the Member is responsible for any additional costs. Good Buy Mate, LLC will place the order within 24 business hours of receiving payment unless otherwise notified.

6 – Shipping charges are based on weight and are rounded up to the nearest pound. Dimensional weight may apply. Dimensional weight is used when the result of multiplying the measurement in inches of height times width times length divided by 139 is more than the actual weight in pounds.

7 – Good Buy Mate, LLC will not ship to any embargoed country as established from time to time by the United States government.

8 – The Good Buy Mate, LLC Member is responsible for and warrants its compliance with all applicable laws, rules, licenses and regulations, including, but not limited to, the export laws and government regulations of any country to, from, through or over which the Good Buy Mate, LLC Member shipment may be carried. The Member is responsible for any and all duties, taxes, and fees levied by the Member’s country.

9 – The Good Buy Mate, LLC Member agrees that it is not a denied person and that it will not, directly or indirectly, participate in any way in any transaction involving any commodity, software or technology (hereinafter collectively referred to as “item”) exported or to be exported from the United States that is subject to the Export Administration Regulations (EAR), or in any other activity subject to the EAR, including, but not limited to: A. Applying for, obtaining, or using any license, License Exception, or export control document; B. Carrying on negotiations concerning, or ordering, buying, receiving, using, selling, delivering, storing, disposing of, forwarding, transporting, financing, or otherwise servicing in any way, any transaction involving any item exported or to be exported from the United States that is subject to the EAR, or in any other activity subject to the EAR; or C. Benefiting in any way from any transaction involving any item exported or to be exported from the United States that is subject to the EAR, or in any other activity subject to the EAR. Further, the Good Buy Mate, LLC Member shall not directly or indirectly, do any of the following: A. Export or reexport to or on behalf of any denied person any item subject to the EAR; B. Take any action that facilitates the acquisition or attempted acquisition by a denied person of the ownership, possession, or control of any item subject to the EAR that has been or will be exported from the United States, including financing or other support activities related to a transaction whereby a denied person acquires or attempts to acquire such ownership, possession or control; C. Take any action to acquire from or to facilitate the acquisition or attempted acquisition from the denied person of any item subject to the EAR that has been exported from the United State; or D. Engage in any transaction to service any item subject to the EAR that has been or will be exported from the United States and which is owned, possessed or controlled by a denied person, or service any item, of whatever origin, that is owned, possessed or controlled by a denied person if such service involves the use of any item subject to the EAR that has been or will be exported from the United States. For purposes of this paragraph, servicing means installation, maintenance, repair, modification or testing.  The Good Buy Mate, LLC Member also warrants that it will not attempt to ship to persons or entities listed as Specially Designated Nationals or Blocked Persons by the U.S. Treasury Department. Good Buy Mate, LLC will not carry shipments that violate any U.S. export laws. Good Buy Mate, LLC assumes no liability to the Good Buy Mate, LLC Member or any other person for any loss or expense – including, but not limited to, fines and penalties – if the Good Buy Mate, LLC Member fails to comply with any and all applicable laws and regulations in effect in both the U.S.A. and his/her country.

10 – The Good Buy Mate, LLC Member is responsible for making sure goods shipped internationally are acceptable for entry into the destination country. All charges for shipment to and return from countries where entry is not permitted are the Member’s responsibility. Good Buy Mate, LLC assumes no responsibility for shipments abandoned in customs, and such shipments may be considered undeliverable.

11 – Good Buy Mate, LLC reserves the right to refuse, hold or return any order and may do so at its sole discretion and without liability to Good Buy Mate, LLC. Good Buy Mate, LLC will execute that right when (but not limited to cases in which): (1) the order may cause damage or delay to other shipments, property or personnel; (2) the order is likely to sustain damage or loss in transit; (3) the order contains prohibited items; (4) the account of the person or entity responsible for payment is not in good credit standing; or (5) when acceptance of the order may jeopardize Good Buy Mate, LLC’s ability to provide service to other customers. Good Buy Mate, LLC reserves the right to terminate an Good Buy Mate, LLC Member’s access to and use of the Good Buy Mate, LLC systems for any reason, including if Good Buy Mate, LLC in its sole judgment believes that (1) the system is being used for an illegal purpose or a purpose not authorized by Good Buy Mate, LLC, or (2) Good Buy Mate, LLC or a third party’s rights are being jeopardized, or (3) Good Buy Mate, LLC or any third party is potentially exposed to liability or damage of any type, or (4) the Good Buy Mate, LLC Member is violating the any applicable agreement between Good Buy Mate, LLC and the Good Buy Mate, LLC Member.

12 – The Good Buy Mate, LLC Member agrees to indemnify, hold harmless and defend Good Buy Mate, LLC, its officers, directors, employees and agents from and against any and all claims, expenses, fines, judgments, damages or awards (including, without limitation, U.S. or foreign export compliance fines or penalties, customs fines or penalties, and reasonable attorney fees) arising out of or related to Good Buy Mate, LLC’s preparation, determination or execution of the documents (including international air waybills) or any other document necessary for transportation, including, but not limited to shipment addressing, routing, classification, licensing requirements, and value of goods/documents and value for carriage, except for claims arising solely from the gross negligence or willful misconduct of Good Buy Mate, LLC. The Good Buy Mate, LLC Member further agrees to hold Good Buy Mate, LLC, its officers, directors, employees and agents harmless from and against all claims, damages, liabilities, actions, losses, costs and expenses of any nature whatsoever in any manner arising out of the Good Buy Mate, LLC Member providing to Good Buy Mate, LLC inaccurate or false information or documents. For shipments requiring a U.S. State Department or U.S. Commerce Department export license, the Good Buy Mate, LLC Member agrees that it remains liable for and will hold Good Buy Mate, LLC, its officers, directors, employees, and agents, harmless from and against all claims, damages, liabilities, actions, losses, costs and expenses of any nature whatsoever in any manner arising out of the Good Buy Mate, LLC Member’s failure to comply with U.S. law applicable to the exportation of such shipments.

13 – We reserve the right, at our sole discretion, to change, modify, or otherwise alter these terms and condition anytime. Please review the terms and conditions periodically.
